1. About These Terms
These Terms of Service (“Terms”) govern your access to and use of the Studia platform and services. Please read them carefully before using Studia.
Studia is the trading name of SOPHOS EDUCATION LTD (Company No. 14321333), with its registered office at 10 St. Edmunds Square, London, England, SW13 8SA (“we”, “us”, “our”, or “Studia”). Our platform is accessible at studia.io.
By accessing or using Studia, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
If you are under 13, your parent or legal guardian must create your account and agree to these Terms on your behalf before you use Studia. If you are aged 13–17, you may create your own account and agree to these Terms yourself; we encourage you to discuss your use of Studia with your parent or guardian.
These Terms are designed to comply with the UK Online Safety Act 2023 and are aligned with our obligations to provide a safe, age-appropriate learning environment.
These terms of service refer to the following additional terms, which also apply to your use of our Platform: our Privacy Policy (how we collect, use and store personal data), our Children's Privacy Policy, our Community Guidelines, and for Tutors, the Tutor Terms of Service.
2. Definitions
The following definitions apply throughout these Terms and are used consistently across all of our policy documents.

| Account | A registered user profile on the Platform, created by a Parent (for Students under 13), by a Student aged 13 or over, or by a Tutor. |
| Subscription | A recurring monthly payment by a Student (via their Parent) to access a specific Tutor's Livestreams and Content Library, at the price displayed on the Platform. |
| Livestream | A one-to-many live video lesson hosted by a Tutor, where Students participate via text chat, polls, and AI Q&A. Students do not broadcast video or audio during Livestreams. |
| 1-to-1 Session | A private video tutoring session between one Tutor and one Student, with two-way video, audio, interactive whiteboard, and screen sharing. |
| Content Library | The collection of recorded Livestreams, teaching materials, and resources created by a Tutor, accessible to their Subscribers. |
| AI Assistant | Tutor-trained AI models that provide real-time educational support during Livestreams, including answer checking, hints, and Q&A, based on a specific Tutor's teaching materials and style. |
| Safety Team | Studia's designated safeguarding and moderation personnel, including the Designated Safeguarding Lead (DSL), responsible for child safety, content moderation, and safeguarding investigations. |
| Enhanced DBS | An Enhanced Disclosure and Barring Service check with Children's Barred List check, required for all Tutors before they may teach on the Platform. |
| Tier System | Studia's tutor progression framework: Tier 0 (1-to-1 only), Tier 1 (Livestreams and Subscriptions), Tier 2 (Hero Tutor, invite-only). |
| Recording | The video, audio, chat, and/or transcript capture of a Livestream or 1-to-1 Session. |
| Free Trial | A 14-day trial period for new Subscriptions, providing full access to the Tutor's content. No payment is taken during the trial; the Subscription auto-renews at the end unless cancelled. |
| Platform Fee | The commission retained by Studia on all Tutor revenue (Subscriptions and 1-to-1 Sessions). |
| Strike | A formal disciplinary mark applied for violations of the Community Guidelines. Strikes accumulate and lead to progressive consequences. |
| User-Generated Content | Any content, text, images, or other material created or submitted by users through the Platform, including questions, submissions, and contributions to interactive features. |
3. Eligibility and Age Requirements
3.1 Students
Our Platform is designed for Students aged 7–18 studying UK curriculum subjects (Key Stage 2, Key Stage 3, GCSE, A-Level, and university entrance preparation). We also welcome international students studying analogous exams.
3.2 Age-Specific Requirements
- Students under 13: Explicit parental consent is required before you can access the Platform, in accordance with the UK GDPR (as implemented by the Data Protection Act 2018, section 9). A Parent must create the account and provide verified consent.
- Students aged 13–17: You may create your own account. We encourage parental involvement and offer a parental dashboard so your parent or guardian can monitor your activity and manage your safety settings.
- Students aged 18 and over: You may create your own account without parental involvement.
3.3 Tutors
Tutors must be aged 18 or over and must hold a valid Enhanced DBS with Children's Barred List check before teaching on the Platform.
3.4 Age Verification
To ensure compliance with the Online Safety Act 2023, we implement proportionate age assurance measures. During registration, Parents must create accounts using a verified email address and payment card verification. Students under 13 cannot proceed without completed parental verification and explicit consent. Age verification records are retained for 7 years as required for regulatory audit and compliance purposes.
4. Account Creation and Security
- Under-13 accounts: A Parent or Guardian must create and manage the account (DPA 2018, section 9).
- 13–17 accounts: Students may create their own account. Parents and Guardians can link to the account for oversight via the parental dashboard.
- Account credentials: You are responsible for maintaining the confidentiality of your account login details. You must notify us immediately at [email protected] if you become aware of any unauthorised access to your account.
- Account sharing is prohibited: Each Student account is for one Student only. You must not share your account credentials with anyone else. You may not create more than one Student account or one Tutor account.
- Accurate information: You must provide accurate and complete information when creating your account and keep it up to date.
- Third-party sign-in: If you create your account using a third-party service (such as Google), you authorise us to collect the personal data necessary to authenticate your account with that provider.
5. Our Services
Studia provides an online educational platform connecting Students with qualified Tutors. Our services include:
5.1 Tutor Subscriptions
- Subscribe to individual Tutors at the price displayed on the Platform.
- Access Livestreamed group lessons hosted by your subscribed Tutors.
- Access the Tutor's Content Library of recorded lessons and teaching materials.
- Real-time text chat, polls, and AI Q&A during Livestreams, powered by Tutor-trained models (AI Assistant). Students participate via text only and do not broadcast video or audio during Livestreams.
5.2 1-to-1 Tutoring Sessions
- Book individual video tutoring sessions with qualified Tutors.
- Sessions include two-way video, audio, interactive whiteboard, and screen sharing.
- Pricing is set by individual Tutors within the range displayed on the Platform.
- Scheduling is managed through our integrated booking system.
5.3 AI Assistant
During Livestreams, Tutor-trained AI models provide real-time educational support, including answer checking, hints, and Q&A, based on a specific Tutor's teaching materials and style.
5.4 Quality Standards
All Tutors undergo Enhanced DBS checks with Children's Barred List checks. Tutors progress through our Tier System based on performance and student ratings. We require Tutors to maintain high standards to continue offering services on the Platform.
5.5 Tutor Ranking and Discovery
When you search for or browse Tutors on the Platform, the order in which Tutors are displayed is determined by a number of factors, including but not limited to:
- The subject or topic you are searching for
- The Tutor's performance data, including student ratings and reviews
- The completeness and quality of the Tutor's profile, including their profile photo and introduction video
- The Tutor's availability and responsiveness to student messages
- The Tutor's Tier level within Studia's Tier System
- The Student's learning history and preferences on the Platform
- Promotional or featured placement where applicable (where Studia highlights certain Tutors for specific subjects or programmes)
Studia reserves the right to update the ranking factors at any time. Ranking is designed to help Students find the most suitable Tutor for their needs.
6. Payment Terms
6.1 Subscriptions
Subscriptions are billed monthly in advance via our secure third-party payment provider. Subscriptions automatically renew each month unless you cancel. You can cancel at any time through your account settings; cancellation takes effect at the end of your current billing period and no refund is given for the current period.
6.2 1-to-1 Sessions
1-to-1 Sessions are paid per booking at the time of booking. Tutors set their own hourly rates within the range displayed on the Platform. Studia retains a Platform Fee of 30%; Tutors receive 70%.
6.3 Refunds
- Subscription cancellation: No refund for the current billing period. You retain access until the end of the period.
- 1-to-1 Session cancellation (more than 24 hours before): Full refund.
- 1-to-1 Session cancellation (within 24 hours): No refund, unless the Tutor cancels the session.
- Technical issues: If we fail to deliver a service due to a Platform issue, we will provide a credit or refund at our discretion.
6.4 Payment Processing
All payments are processed through secure third-party payment providers. We do not store your complete payment card details. If a payment fails, we will attempt to retry over a 30-day period; if the issue is not resolved, your access may be paused until payment is made.
7. Free Trials
- New Subscriptions include a 14-day free trial, giving you full access to the Tutor's Livestreams and Content Library during the trial period.
- No payment is taken during the free trial period.
- At the end of the 14-day trial, your Subscription will automatically renew and you will be charged at the price displayed on the Platform, unless you cancel before the trial period ends.
- You are entitled to one free trial per Tutor. If you cancel a free trial and re-subscribe to the same Tutor, you will not receive another free trial.
8. Session Recording and Content
8.1 Recording Policy
All sessions on the Platform are automatically recorded for safety, quality assurance, and regulatory compliance purposes.

By using Studia, you consent to the recording of all sessions in which you participate. You may not opt out of recording, as it is required for safeguarding compliance.
8.2 AI Transcripts and Summaries
AI-generated text transcripts and lesson summaries are provided for Livestreams to support your learning.
8.3 Use of Content
All lesson content and recordings are for your personal, non-commercial, educational use only. You must not download, copy, reproduce, distribute, or share any content from the Platform outside of the Platform, and you must not use any content from the Platform for commercial purposes.
9. User Conduct and Safety
9.1 Expected Behaviour
By using Studia, you agree to:
- Treat Tutors, other Students, and all users with respect.
- Use appropriate language in all communications on the Platform.
- Follow instructions from Tutors and moderators during sessions.
- Not disrupt lessons or sessions.
- Not share personal contact information, including phone numbers, social media accounts, email addresses, or physical addresses.
- Not attempt to arrange meetings or communication with any user outside the Platform.
9.2 Prohibited Conduct
You must not:
- Harass, bully, or threaten any other user.
- Share inappropriate, offensive, or illegal content.
- Impersonate another person or create fake accounts.
- Attempt to hack, disrupt, or damage the Platform or its systems.
- Share your account with anyone else.
- Use the Platform for any unlawful purpose.
- Solicit, advertise for, or contact any user for employment, contracting, or any purpose not related to the educational services facilitated through the Platform, without Studia's prior written consent.
9.3 Academic Integrity
You agree not to use the Services to engage in academic dishonesty. This includes, but is not limited to:
- Requesting or engaging a Tutor to complete assignments, write essays, answer exam questions, take quizzes, or otherwise perform academic work on your behalf
- Using any content or materials generated through the Platform in a manner that violates the academic honesty policy of your school, college, university, or other academic institution
- Misrepresenting any work completed with assistance from a Tutor as entirely your own where this would constitute academic misconduct
Tutors are also prohibited from completing academic work on behalf of Students. Where Studia identifies or suspects academic dishonesty, it reserves the right to suspend or terminate the relevant account(s) and notify the relevant institution where appropriate.
9.4 Prohibited Technical Conduct
You must not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs, spyware, or other material that is malicious or technologically harmful. You must not:
- Attempt to gain unauthorised access to the Platform, the servers on which the Platform is stored, or any server, computer, or database connected to the Platform
- Conduct, facilitate, or authorise any automated scraping, crawling, or data harvesting from the Platform
- Use scripts, bots, spiders, or other automated tools to access, copy, monitor, or republish any portion of the Platform or its content
- Attack the Platform via a denial-of-service attack or distributed denial-of-service attack
By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Platform will cease immediately.
10. Acceptable Use Policy
These standards apply to any content you upload, share, create, or transmit on the Platform, as well as your conduct towards other users. You must comply with these standards both in spirit and to the letter.
10.1 OSA Priority Illegal Content — Absolute Prohibitions
You must not use the Platform in any way that involves the following categories of illegal content (as defined under the UK Online Safety Act 2023):
- Terrorism offences, including content that encourages or glorifies acts of terrorism
- Child sexual exploitation or abuse offences, including grooming and child sexual abuse material (CSAM)
- Content encouraging or assisting suicide or serious self-harm
- Harassment, stalking, making threats, or abuse offences
- Hate offences (including content inciting hatred based on race, religion, sex, sexual orientation, disability, or gender reassignment)
- Controlling or coercive behaviour offences
- Drugs or psychoactive substance offences
- Firearms or other weapons offences
- Unlawful immigration or human trafficking offences
- Sexual exploitation of adults offences
- Intimate image abuse offences, including deepfakes
- Fraud and financial services offences
- Foreign interference offences
10.2 Content Very Harmful to Children
The following must not be uploaded, shared, or generated on the Platform:
- Pornographic content
- Content that encourages, promotes, or provides instructions for suicide or attempted suicide
- Content that encourages, promotes, or provides instructions for deliberate self-injury
- Content that encourages, promotes, or provides instructions for eating disorders or behaviours associated with eating disorders
10.3 Other Harmful Content
You must not upload, post, create, or share any content that:
- Is abusive and targets characteristics including race, religion, sex, sexual orientation, disability, or gender reassignment
- Is defamatory, obscene, offensive, hateful, or inflammatory
- Depicts or encourages real or realistic serious violence against any person or animal
- Is likely to deceive any person or impersonates another individual
- Infringes any copyright, database right, or trademark of any other person
- Contains bullying content targeting any user
- Encourages a person to ingest, inject, inhale, or otherwise self-administer a physically harmful substance
- Encourages challenges or stunts highly likely to result in serious injury
10.4 Platform-Specific Conduct Rules
You must not:
- Use the Platform for commercial purposes unrelated to the educational services offered
- Upload advertising or promotional material for third-party products or services
- Transmit unsolicited advertising, promotional material, or spam to other users
- Use the Platform in a way that violates any local, national, or international law or regulation
- Misrepresent your identity, qualifications, or affiliation with any person or organisation
Studia will determine, in its discretion, whether any content or conduct breaches these acceptable use standards. For detailed rules about behaviour during Livestreams and 1-to-1 Sessions, please also read our Community Guidelines.
11. Content Moderation
We take the safety of our users, particularly children and young people, very seriously. Our approach to content moderation includes:
- Automated monitoring: We use AI-powered tools to monitor content across the Platform for safety risks, including inappropriate content, grooming behaviour, bullying, and self-harm indicators.
- Human review: Our trained Safety Team reviews flagged content and may intervene during sessions to address conduct issues.
- Reporting to authorities: Where we identify illegal content or serious safeguarding concerns, we will report these to the appropriate authorities, including law enforcement and child protection services, as required by law.
- Progressive consequences: Violations may result in warnings, feature restrictions, temporary suspension, permanent account termination, or reporting to authorities. See our Community Guidelines for details.
12. Safeguarding and Child Safety
12.1 Our Commitment
We are committed to providing a safe learning environment for all Students. To support this: all Tutors hold valid Enhanced DBS certificates with Children's Barred List checks; all Tutors must complete safeguarding and online safety training before teaching; all Tutors are bound by our Tutor code of conduct and Community Guidelines; and we operate content moderation and safety monitoring systems across all Platform interactions.
12.2 Reporting Concerns
If you have any safeguarding concern about a Student, a Tutor, or any activity on the Platform, please use the “Report” button within any session or profile, or email our Safety Team at [email protected]. You will never be penalised for making a good-faith report. Where we are legally required to do so, we will notify safeguarding authorities, law enforcement, or other relevant bodies.
13. Parental Controls and Dashboard
Parents and Guardians can link to their child's account to access a parental dashboard. For Students under 13, parental linking is mandatory. For Students aged 13–17, parental linking is encouraged. Through the dashboard, Parents can: monitor session history; access Livestream recordings and transcripts; manage Subscriptions and spending; set notification preferences; report safeguarding concerns; exercise data rights (including requesting data export or account deletion); and withdraw consent and close their child's account.
14. Intellectual Property
14.1 Platform Content
Studia owns all intellectual property rights in the Platform, including its design, software, branding, logos, and any materials we create. You may not copy, reproduce, modify, or distribute any Platform content except as expressly permitted by these Terms.
14.2 Tutor Content
Tutors retain ownership of their original teaching materials. By uploading content to the Platform, Tutors grant Studia a non-exclusive licence to host, stream, display, and store that content on the Platform for the purposes described in the Tutor Terms of Service. This includes using Tutor materials to train Tutor-specific AI models (not general-purpose AI models). Marketing use of Tutor content requires the Tutor's permission.
14.3 Student Content
You retain ownership of any work you submit to the Platform (including questions and other submissions). By submitting content, you grant Studia a licence to use it for the purpose of providing and improving our services. Student content is not used for general AI model training, behavioural profiling, or advertising.
14.4 No Text or Data Mining or AI Training
You must not conduct, facilitate, authorise, or permit any text or data mining, web scraping, or automated extraction in relation to the Platform or any services provided via the Platform, for any purpose — including the development, training, fine-tuning, or validation of AI systems or models. This includes using or permitting the use of:
- Any robot, bot, spider, scraper, or other automated device, programme, tool, algorithm, code, process, or methodology to access, obtain, copy, monitor, or republish any portion of the Platform or any data, content, or information accessible via the Platform
- Any automated analytical technique aimed at analysing text and data in digital form to generate information, including patterns, trends, and correlations
You must not use, and we do not consent to the use of, the Platform or any data published by, contained in, or accessible via the Platform for the purposes of developing, training, fine-tuning, or validating any AI system or model. The provisions of this clause constitute an express reservation of our rights, including for the purposes of applicable copyright law.
14.5 Copyright Infringement
If you believe that any materials on the Platform infringe your copyright or other intellectual property rights, please contact us at [email protected] with full details of the alleged infringement. We will investigate promptly and may remove infringing content, terminate repeat infringers, and take other appropriate action.
15. User-Generated Content
“User-Generated Content” means all comments, questions, text, images, videos, feedback, and other material that you post to or submit through any part of the Platform.
We are not responsible or liable for views, opinions, and statements expressed in User-Generated Content submitted by other users. We do not prescreen all information posted on the Platform and are not responsible for the accuracy, completeness, or usefulness of User-Generated Content. Any opinions expressed in User-Generated Content are those of the respective author, not of Studia.
You are responsible for ensuring that any User-Generated Content you submit does not violate the copyright, trade secret, or other intellectual property rights of any third party, does not breach these Terms or our Acceptable Use Policy, and is accurate and not misleading. You shall be solely liable for any damages resulting from any infringement or harm caused by your User-Generated Content.
We have the right, but not the obligation, to monitor, edit, or remove any User-Generated Content at any time. By submitting User-Generated Content to the Platform, you grant Studia a non-exclusive, royalty-free licence to use, store, and copy that content and to distribute and make it available to others as part of providing the Platform's services. You retain ownership of your User-Generated Content.
Studia may disclose your identity to any third party who is claiming that any content posted or submitted by you to the Platform violates their intellectual property rights or right to privacy, where we are required or permitted to do so by law.
16. Third-Party Services and Linking
16.1 Third-Party Services
We use third-party service providers to help us operate the Platform, including providers for video streaming, payment processing, web hosting, authentication, and safety monitoring. These providers have their own terms and privacy policies. We do not sell your personal data to third parties. For full details about how your information is shared with third-party providers, please see our Privacy Policy.
The Platform may contain links to third-party websites. These links are provided for your convenience only, and Studia is not responsible for the content of any linked website or the accuracy of any information contained therein. Any non-Studia website accessed from the Platform is independent from Studia, and a link to any non-Studia website does not imply that Studia accepts any responsibility for its content or use. Studia does not endorse any third-party product, service, or website unless expressly stated.
16.2 Linking to the Platform
You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not:
- Establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists
- Frame the Platform on any other website without our prior written consent
- Link to any part of the Platform other than the homepage without our prior written consent
- Use our name, logo, or branding in any link or reference without our prior written consent
We reserve the right to withdraw linking permission without notice.
17. Reviews and Ratings
Studia may provide a mechanism for Students and Parents to submit ratings and written reviews of Tutors. By submitting a review or rating, you confirm that it reflects your genuine, honest experience.
Studia provides its rating and review system as a means through which users can express their opinions, and Studia does not routinely monitor or censor individual reviews for accuracy or reliability unless a review is brought to Studia's attention as potentially inaccurate, defamatory, or in breach of these Terms. You may be held legally responsible for damages suffered by other users or third parties as a result of your reviews if a court finds that your statements are legally actionable or defamatory.
Studia is not legally responsible for any review, rating, or comment posted by any user or third party, even if that content is defamatory or otherwise legally actionable. Studia reserves the right to remove reviews that breach these Terms or our Community Guidelines.
If you believe a review about you is false, defamatory, or otherwise in breach of these Terms, you may report it by contacting [email protected]. You agree to report violations or abuses of our rating and review system to us promptly.
18. Feedback
We may provide you with a mechanism to provide feedback, suggestions, and ideas about the Platform and our Services (“Feedback”). By submitting any Feedback, you grant us the right to use your Feedback for the improvement and promotion of the Services. You agree that submitting Feedback is gratuitous, unsolicited, and without restriction, and will not place us under any obligation to compensate you.
You acknowledge that by accepting your Feedback, Studia does not waive any rights to use similar or related ideas previously known to Studia, developed by its staff, or obtained from other sources. We may, in our sole discretion, use the Feedback you provide in any way, including in future enhancements and modifications to the Services.
19. Notifications and Communications
Unless you indicate otherwise, Studia will communicate with you by email, text, WhatsApp or by posting communications on the Platform. You consent to receive communications from us electronically, and you agree that these electronic communications satisfy any legal requirement that such communications be in writing.
You will be considered to have received a communication when we send it to the email address associated with your account, or when we post such communication on the Platform. You are responsible for keeping your email address up to date in your account settings and for regularly checking the Platform for any posted communications.
You may update your notification and communication preferences through your account settings at any time. To stop receiving specific communications, you may also contact us at [email protected].
20. Non-Solicitation
Without limitation, the Platform may not be used to solicit users for any other business, website, or service. You may not solicit, advertise for, or contact in any form any user of the Platform for employment, contracting, or any other purpose not related to the educational services facilitated through Studia, without our express prior written permission.
You may not use the Platform to collect usernames, email addresses, or other contact details of users by electronic or other means for the purposes of solicitation or unsolicited communication.
Nothing in this clause prevents users from making ordinary, good-faith communications about educational matters through the Platform's messaging features.
21. Our Responsibilities and Limitations of Liability
21.1 What We Provide
Studia provides a platform to connect Students with qualified Tutors; content moderation and safety monitoring systems; technical infrastructure for Livestreaming and video sessions; payment processing; and customer support.
21.2 What We Do Not Guarantee
We do not guarantee: specific learning outcomes or examination results; uninterrupted or error-free service; that all content on the Platform will meet your expectations; or Tutor availability at specific times.
21.3 Tutor Relationship
Tutors are independent contractors, not our employees or agents. We do not directly control their teaching content or methods. However, we do enforce quality and safety standards, and Tutors must comply with our Community Guidelines and Tutor Terms of Service.
21.4 Disclaimer of Warranty
The Platform and all Services, content, and information are provided “as is” and “as available” without warranty of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Specifically, we do not warrant that: (i) the Platform will be free of errors or that errors will be corrected; (ii) the Platform will be uninterrupted or secure; (iii) any AI-generated content, transcript, or summary will be accurate, complete, or suitable for any purpose; or (iv) the Platform will be free from viruses or other harmful components.
Neither Studia nor its affiliates or licensors is responsible for the conduct, whether online or offline, of any user of the Platform. Each Student is responsible for selecting a Tutor suitable for their learning goals and for verifying Tutor credentials and reviews.
21.5 Limitation of Liability
To the fullest extent permitted by law: we are not liable for Tutors' teaching methods, content accuracy, or educational outcomes; we are not responsible for technical issues caused by your internet connection, device, or factors outside our control; our total liability to you shall not exceed the total amount you have paid to us in the 12 months immediately preceding the event giving rise to the claim; and we are not liable for any indirect, consequential, incidental, or special damages arising from your use of the Platform.
21.6 Exclusions That Cannot Be Limited
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence (Unfair Contract Terms Act 1977, section 2(1)); fraud or fraudulent misrepresentation; any breach of the terms implied by sections 9, 10, or 11 of the Consumer Rights Act 2015; or any other liability that cannot be excluded or limited under applicable law.
22. Indemnification
By using the Platform, you agree to indemnify, hold harmless, and defend Studia and its subsidiaries, affiliates, officers, directors, employees, and representatives from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) resulting directly or indirectly from a claim by a third party that arises in connection with:
- Any act or omission by you on or through the Platform
- Violation of any rights of another person or entity, including any alleged infringement of intellectual property rights
- Breach of these Terms or any applicable law or regulation
- Disputes between you and other users of the Platform
- Use or misuse of the Platform, including any content or materials thereon
- Inaccurate, untimely, incomplete, or misleading information provided by you, including in connection with registration or your user profile
You agree to cooperate with Studia in the defence of any such claims. Studia reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you shall not settle any claim or matter on behalf of Studia without our prior written consent.
23. Termination and Suspension
23.1 Your Right to Close Your Account
You can close your account at any time through your account settings or by contacting us at [email protected].
23.2 Our Right to Suspend or Terminate
We may suspend or terminate your account if you violate these Terms or our Community Guidelines; engage in conduct that presents a risk to safety or security on the Platform; we are required to do so by law or by a regulatory authority; or you fail to pay fees owed to us and the payment issue remains unresolved.
23.3 Effect of Termination
When your account is terminated or closed: you will lose access to the Platform and all content; we will process any outstanding refunds in accordance with our refund policy; certain provisions of these Terms will continue to apply after termination; and recordings may be retained in accordance with our legal obligations. Account data will be retained in accordance with our data retention schedule as set out in the Privacy Policy, subject to your right to submit a data erasure request.
24. Dispute Resolution
24.1 Informal Resolution
Before taking any formal action, we encourage you to contact us at [email protected] so we can try to resolve the matter informally. We will make reasonable efforts to address your concern promptly.
24.2 Formal Complaints
If informal resolution is not successful, you may submit a formal complaint through our complaints procedure. Details of our complaints procedure are available on request by emailing [email protected].
24.3 Alternative Dispute Resolution
For consumer disputes, you may also be entitled to refer the matter to a certified Alternative Dispute Resolution (ADR) provider. We will provide details of any applicable ADR provider upon request.
24.4 Courts
Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We do not use mandatory arbitration or class action waivers.
25. Online Safety Act Compliance
Studia is committed to complying with the UK Online Safety Act 2023 (“OSA”). In particular:
- We conduct children's risk assessments as required under OSA sections 11–12, identifying and mitigating risks to children who use the Platform.
- We implement proportionate age verification and age assurance measures appropriate to our educational context.
- We operate content moderation systems to address illegal content and to protect children from harmful content.
- We provide clear and accessible reporting mechanisms for users to report concerns (see Section 12.2).
- We comply with transparency reporting obligations as applicable to our service category.
- Senior management oversight of safety measures is documented and maintained as part of our OSA compliance framework.
26. Changes to Terms and Services
26.1 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by prominent notice on the Platform at least 30 days before the changes take effect. If you continue to use Studia after the changes take effect, you will be deemed to have accepted the new Terms. If you do not agree, you should stop using the Platform and close your account before the changes take effect. Non-material changes may be made without prior notice.
26.2 Changes to Services
We may add, modify, or discontinue features of the Platform from time to time. We will provide reasonable notice for material changes that affect paid services.
27. General Provisions
27.1 Entire Agreement
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Studia regarding your use of the Platform. For Tutors, the Tutor Terms of Service also applies.
27.2 Severability
If any provision of these Terms is found by a court to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
27.3 No Waiver
Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.
27.4 Assignment
You may not transfer or assign your rights or obligations under these Terms to any other person without our prior written consent. We may transfer our rights and obligations to another organisation, provided that the transfer does not reduce your rights under these Terms.
27.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, pandemics, internet or telecommunications failures, government actions, or industrial disputes.
27.6 Headings
The headings in these Terms are for convenience only and do not affect their interpretation.
28. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
